Terms of Service & End-User License Agreement

These Terms are written in English, which is the authoritative version. Any translation (including the Polish section below) is provided for convenience only; the English version prevails in case of any discrepancy.

These Terms of Service and End-User License Agreement (the "Terms") govern your use of the SqlSage for DBeaver plugin, this website and our licensing service. By installing or using SqlSage, you agree to them.

1Who these Terms are with

SqlSage for DBeaver is provided by LUMA sp. z o.o. (trading as LumaSoft), ul. Gawronia 15, 04-785 Warszawa, Poland; KRS 0001244636, NIP PL9522285489, REGON 544875680 ("we", "us", "the vendor"). "You" means the individual or organisation using SqlSage.

SqlSage is an independent, third-party product. It is not affiliated with, endorsed by, sponsored by or distributed by DBeaver Corp, Anthropic or OpenAI, and it is not DBeaver's own built-in AI Assistant.

2The product

SqlSage is a plugin for DBeaver 26.x, installed into your own DBeaver from a p2 update site. It adds an AI chat panel that works in the context of your active connection, query and error explanation, SQL generation and rewriting for your dialect, and a tool-use loop through which the assistant can read schema metadata and run read-only queries behind a safety chokepoint.

SqlSage does not include AI inference and does not resell access to AI models. It works by starting the Claude Code (claude) or OpenAI Codex (codex) command-line tool that you have installed and signed in to on your own machine. You need such a tool and a valid account with the relevant provider for the AI features to work at all. No API key is entered into SqlSage, and we never take custody of your provider credentials.

3Acceptance & eligibility

By downloading, installing or using SqlSage you accept these Terms. If you use it on behalf of an organisation, you confirm you are authorised to bind that organisation. You must be at least 16 years old and legally able to enter into a contract.

4License grant & tiers

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use SqlSage on the number of seats your licence covers, for your own business or personal use. Unless stated otherwise at checkout, a licence covers one seat.

Tier, seat count and update entitlement are as stated at the time of purchase. Free licences that we grant on request (for example to students or open-source maintainers) are gratuitous, are not purchases, and may be limited in scope or withdrawn.

5Restrictions

You may not: (a) copy, distribute, sublicense, rent, lease or resell SqlSage except as expressly permitted; (b) reverse engineer, decompile or disassemble it, except to the extent applicable law expressly permits despite this restriction; (c) circumvent, disable or tamper with the licensing, trial or safety mechanisms, or share a licence key beyond the seats you bought; (d) remove or alter proprietary notices; or (e) use SqlSage to build a competing product.

6Your AI provider, DBeaver & third parties

SqlSage depends on software and services that are not ours: DBeaver (DBeaver Corp), the Claude Code and OpenAI Codex command-line tools, and the AI services behind them. Your use of each is governed by that party's own terms and policies, not ours.

You are responsible for holding a valid account, subscription or entitlement with your chosen AI provider, and for complying with its acceptable-use terms, rate limits and any restrictions on programmatic or automated use. Your SqlSage usage draws on your own provider plan — we add no separate AI charge, but we also do not control, and make no promise about, how your provider meters, caps, prices or throttles that usage, or whether it continues to permit this pattern of use at all. If your provider limits or withdraws access, the AI features of SqlSage may stop working, and that is not a defect in SqlSage.

We do not control and are not responsible for the availability, output, accuracy, security or pricing of those third parties.

7Your database, your responsibility

Important — you stay in control of your database. Every statement the assistant proposes passes a classifier before anything touches the database: a plain read runs on a session separate from your editor’s, and anything that writes, changes schema, or cannot be proven to be a read is not executed without your explicit confirmation showing the exact SQL. To be precise about what we do not provide: that session is not marked read-only at the driver or transaction level, there is no query timeout, and the row cap is applied on the client — so the server still executes the whole query. AI-generated SQL and AI explanations can still be wrong. You are solely responsible for reviewing, approving and executing any statement against your database, and for keeping appropriate backups.

You are responsible for: the connections and credentials you use; deciding whether to switch on the opt-in that sends query result values to your AI provider (it is off by default, and once switched on it stays on until you switch it off); marking connections read-only or using the kill switch where appropriate; complying with your organisation's data-handling rules and with any obligations you owe to the people whose data is in those databases; and the consequences of any SQL you choose to run.

The classifier, the confirmation dialog, the per-connection execution policy, the kill switch and the audit log are safeguards, not guarantees. They reduce risk; they do not eliminate it, and they are not a substitute for database permissions, backups or your own review.

8The optional agent bridge

SqlSage can optionally expose the connection you are working on to your own external AI agent over a local, token-guarded endpoint on your machine. This feature is off by default. If you switch it on, you decide which agents you give the connection details to, and you are responsible for what those agents do — including anything they transmit to their own providers. External agents are restricted to read-only statements, row values are withheld from them, and every classification is audited locally, but you remain responsible for enabling the feature and for keeping the token confidential. Rotate the token if it may have been exposed.

9Trial & licence keys

Trial. SqlSage grants a 30-day Pro trial with no card and no sign-up, starting on first run, unlocking the Pro features. When the trial ends the plugin does not stop working: it continues on the Free tier, and your settings and history stay where they are. There is nothing to cancel.

Licence keys. A purchased licence is a cryptographically signed key that you paste into Window → Preferences → SqlSage. It is verified offline on your machine — the plugin makes no licence call to our servers, so it works air-gapped and does not depend on our uptime. The key is issued to the email address used at checkout and identifies your entitlement; keep it confidential, as anyone holding it can unlock the software.

We may revoke a licence record where a purchase is refunded, charged back or obtained fraudulently, or where these Terms are materially breached. Where a licence has expired or been revoked, your right to use the paid features ends even if the software continues to accept a previously issued key.

10Payments & the Merchant of Record

Purchases are sold and processed by Paddle, acting as Merchant of Record. Paddle is the seller of record for your transaction and is responsible for billing, collecting and remitting VAT, GST and sales tax, issuing invoices, and handling chargebacks and refunds. Your purchase is therefore also subject to Paddle's own checkout terms, and your billing data is collected and controlled by Paddle rather than by us.

Prices are shown in US dollars at checkout, exclusive of any tax Paddle adds for your location, and may change for future purchases and renewals. Subscriptions renew automatically until cancelled.

11Refunds

Our refund terms are set out in full on the Refund Policy page. In summary: the product has a Free tier and a 30-day trial with no card, so you can evaluate it fully before paying; one-time purchases and first subscription payments carry a 14-day money-back window; a subscription can be cancelled at any time and stays active until the end of the period you have paid for. Refunds are issued by Paddle as Merchant of Record. Nothing there or here limits any non-waivable statutory consumer right (see section 19).

12Updates & changes to the product

The plugin may check once per session for a newer version by requesting a public metadata file from our update site; you can switch that off in Preferences. Installing an update is always your action — DBeaver installs third-party plugins manually.

We may release updates, and we may modify, add, suspend or discontinue features, including where a change is forced by DBeaver, by an AI provider or by law. Subscription licences receive the current version while active; one-time licences receive updates released within their update window. Because DBeaver does not publish a formally versioned stable extension API, we do not warrant that any given DBeaver release will remain compatible.

13Intellectual property

SqlSage, including its software, design and marks, belongs to us and our licensors and is protected by intellectual-property law. These Terms grant a licence, not a sale; all rights not expressly granted are reserved. You keep all rights in your own data, your SQL and your databases, and in any output your AI provider produces for you, subject to that provider's terms.

14Disclaimer of warranties

To the maximum extent permitted by law, SqlSage is provided "as is" and "as available", without warranties of any kind, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the software will be error-free or uninterrupted, that it will remain compatible with any version of DBeaver or any AI provider, or that AI-generated output or statement classification will be accurate, complete or suitable for your purpose.

15Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of or damage to data, profits, revenue, goodwill or business, arising out of or related to your use of SqlSage — including any statement executed against your database, any AI-generated output, and any act of an external agent you connected to the optional bridge. Our total aggregate liability arising out of or related to these Terms will not exceed the greater of the amount you paid us for SqlSage in the twelve (12) months before the event giving rise to the claim, or EUR 50.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intentional fault, or under non-waivable consumer-protection rules.

If you are a consumer in the European Union, the exclusions and the cap in this section apply only to the extent the law permits them to be applied to you. Where Polish or EU consumer law would treat such a term as ineffective against a consumer, it does not apply to you, and the rest of these Terms stands unaffected. Nothing here limits our liability for damage caused intentionally or by gross negligence, or our statutory liability for the conformity of digital content.

16Indemnity

You agree to indemnify and hold us harmless from third-party claims, damages and reasonable expenses arising out of your misuse of SqlSage, your breach of these Terms, your breach of your AI provider's or DBeaver's terms, or your infringement of a third party's rights — to the extent permitted by applicable law and excluding anything caused by our own fault.

17Term & termination

These Terms apply for as long as you use SqlSage. We may suspend or terminate your licence if you materially breach them, including by circumventing licensing or safety mechanisms or infringing our rights. You may stop at any time by uninstalling the plugin. On termination you must stop using and remove the software; sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnity, governing law) survive.

18Governing law & disputes

These Terms are governed by the law of Poland and, where applicable, of the European Union, without regard to conflict-of-laws rules. Disputes fall to the competent courts for our registered seat in Poland, except where mandatory consumer-protection law gives you the right to bring proceedings in your country of residence and to rely on its law.

19Consumer rights

If you are a consumer in the European Union, you have statutory rights that these Terms do not affect, including rights concerning the conformity of digital content and, subject to conditions, a 14-day right of withdrawal. For downloadable digital content that right can be lost once supply has begun, where you expressly requested immediate supply and acknowledged the loss of the right — an acknowledgement captured at checkout by Paddle as Merchant of Record. 20Changes to these Terms

We may update these Terms as the product evolves. We will change the "Last updated" date and, for material changes, take reasonable steps to notify customers. Continued use after a change takes effect constitutes acceptance; if you do not accept a change, stop using the software.

Regulamin i licencja (wersja polska — informacyjnie)

Wersja angielska ma moc rozstrzygającą. Poniższe tłumaczenie ma charakter wyłącznie informacyjny; w razie rozbieżności obowiązuje wersja angielska.

Dostawca. LUMA sp. z o.o., ul. Gawronia 15, 04-785 Warszawa (KRS 0001244636, NIP PL9522285489, REGON 544875680). SqlSage to produkt third-party — nie jest powiązany z DBeaver Corp, Anthropic ani OpenAI i nie jest wbudowanym AI Assistantem DBeavera.

Produkt. Wtyczka do DBeaver 26.x instalowana z update-site p2. Nie sprzedajemy dostępu do modeli AI ani inferencji — wtyczka uruchamia zainstalowane przez Ciebie CLI claude lub codex, działające na Twoim koncie. Bez tego CLI funkcje AI nie działają. Żaden klucz API nie jest wpisywany do SqlSage.

Licencja i plany. Ograniczona, niewyłączna, niezbywalna licencja na liczbę stanowisk z zakupu (domyślnie 1). Free — czat, wyjaśnianie zapytań i błędów, tool-use tylko do odczytu, bramka bezpieczeństwa, log audytowy. Pro (subskrypcja) — przepisywanie SQL i wstawianie do edytora, potwierdzane zapisy/DDL, rozszerzony kontekst, obaj providerzy. Pro (jednorazowo, „lifetime”) — bieżąca wersja główna plus rok aktualizacji.

Twoja odpowiedzialność. Każda instrukcja jest klasyfikowana przed wykonaniem: odczyt idzie na osobnej sesji read-only z limitem wierszy, a zapis/DDL i wszystko, czego nie da się udowodnić jako odczyt, nie wykona się bez Twojego jawnego potwierdzenia z dokładnym SQL. SQL generowany przez AI może być błędny — odpowiadasz za przegląd, zatwierdzenie i wykonanie zapytań oraz za kopie zapasowe. Opcja wysyłania wartości wierszy do modelu jest domyślnie wyłączona i po włączeniu obowiązuje do wyłączenia.

Limity dostawcy AI. Zużycie liczy się do Twojego planu Claude/Codex. Nie doliczamy opłaty za AI, ale nie kontrolujemy też sposobu, w jaki Twój dostawca mierzy, limituje lub wycenia takie użycie ani czy nadal je dopuszcza. Ograniczenie po jego stronie nie jest wadą SqlSage.

Most dla zewnętrznych agentów jest domyślnie wyłączony. Jeśli go włączysz, odpowiadasz za to, komu udostępniasz połączenie i co ten agent robi z danymi.

Trial i klucze. 30-dniowy trial Pro bez karty i bez rejestracji, liczony od pierwszego uruchomienia; po jego końcu wtyczka działa dalej w planie Free. Klucz licencyjny jest weryfikowany offline na Twojej maszynie — wtyczka nie wysyła żadnego zapytania licencyjnego. Klucz jest poufny.

Płatności. Sprzedawcą formalnym (Merchant of Record) jest Paddle — odpowiada za rozliczenia, VAT, faktury, chargebacki i zwroty; obowiązuje także regulamin checkoutu Paddle. Ceny w USD; subskrypcje odnawiają się automatycznie do momentu anulowania. Zakup jednorazowy i pierwsza płatność subskrypcji objęte są 14-dniową gwarancją zwrotu pieniędzy. Odpowiedzialność i prawo właściwe. Oprogramowanie dostarczane jest „tak jak jest” w najszerszym zakresie dozwolonym prawem; nasza łączna odpowiedzialność ograniczona jest do wyższej z kwot: opłat wniesionych przez Ciebie w ciągu 12 miesięcy przed zdarzeniem albo 50 EUR (sekcja 15 wersji angielskiej). Wobec konsumentów w UE ograniczenia te stosuje się tylko w zakresie dozwolonym prawem — jeśli polskie lub unijne prawo konsumenckie uznaje takie postanowienie za bezskuteczne wobec konsumenta, nie ma ono do Ciebie zastosowania. Prawem właściwym jest prawo polskie, a sądem — sąd właściwy dla naszej siedziby, z zastrzeżeniem bezwzględnie obowiązujących praw konsumenta, w tym prawa odstąpienia (sekcja 19).
